Gothaer Allgemeine: Lohmann follows Leicht 2017

Cologne, 4. October 2016 – The Supervisory Board of Gothaer Allgemeine Versicherung AG appointed Dr. Christopher Lohmann as successor of Thomas Leicht as chairman of Gothaer Allgemeine Versicherung AG. Lohmann was also appointed as member of the board of Gothaer Versicherungsbank VVaG and Gothaer Finanzholding AG. The change at the top of Gothaer Allgemeine Versicherung AG will be executed in 2017. Thomas Leicht (57) decided not to renew his contract expiring 2017 and is expected to resign from the board of management on 28 February 2017.

Gothaer Allgemeine Versicherung AG calls a EUR 107.6 million subordinated bond

Cologne, 16 August 2016 Gothaer Allgemeine Versicherung AG resolved today to redeem the outstanding EUR 107,600,000 Subordinated Fixed to Floating Rate Bonds due 2026 (ISIN: XS0269270566) with effect on 29 September 2016 in accordance with article 5(b) of the Terms and Conditions of the Bonds.

The bonds will be redeemed at their principle amount plus interest accrued to but excluding 29 September 2016 in accordance with the Terms and Conditions of the Bonds on 29 September 2016.

Financial year 2015: Gothaer Strengthens Equity Basis and Gains Market Share in Property Insurance

Cologne, 1 June 2016 – The Gothaer Group presents sound 2015 figures in a difficult market environment: its consolidated net profit for the year was up 14.5% to €134 million. Group equity grew 3.3% and stood at €1,837 million at the end of 2015. The investment result rose 9.8% to €1,213 million. Gross premiums written, at €4.52 billion, remained at the previous year's level (+0.1%) in 2015.

Gothaer Allgemeine: Property/casualty insurer gains market share

Gross premiums written by Gothaer Allgemeine Versicherung AG, at €1,703 million, were up 5.3% on the 2014 level, meaning that Gothaer's property/casualty insurer again grew above the market (+2.7%) and once more obtained high growth rates among private clients and corporate customers.

Leicht resigns from board of management of Gothaer

Cologne, 11. April 2016 Thomas Leicht (56), member of the board of Gothaer Versicherungsbank VVaG and chairman of the board of Gothaer Allgemeine Versicherung AG, will not renew his contract expiring 2017 and will resign from the board of management on 28 February 2017. Since 2007 Leicht is member of the board of management at Gothaer Allgemeine Versicherung AG, the non-life insurer of Gothaer, and since 2008 its chairman.

Gothaer Allgemeine Versicherung AG: Completion of Tender Offer

Cologne, 28 January 2016 On 19 January 2016 Gothaer Allgemeine Versicherung AG published an invitation to the holders of the EUR 250,000,000 Subordinated Fixed to Floating Rate Bonds due 2026 issued by Gothaer Allgemeine Versicherung AG, ISIN XS0269270566 (the "Bonds") to tender to it for purchase for cash their Bonds at a purchase price of 102.50 per cent. (the "Invitation"). The Invitation expired at 4.00 p.m. (Frankfurt time) on 27 January 2016.

Gothaer Allgemeine Versicherung AG has accepted tenders in a principal amount of EUR 115,300,000. Following the completion of the Invitation Bonds with a principal amount of EUR 107,600,000 remain outstanding.

Settlement of the Invitation is expected to take place on 29 January 2016.

2015 financial year: Gothaer strengthens substance and expands corporate-customer segment

Cologne, 10 December 2015 – In a difficult market environment, the Gothaer Group is producing sound figures: The consolidated profit for the year will probably rise 19.1% to €140 million. Group equity grows 1.1% and is likely to be around €1,800 million by the end of the year. The result earned from capital investments is up 8.5% to €1,200 million. As things stand today, gross premiums written in 2015, at €4.51 billion, remain at the previous year's level.

Gothaer Allgemeine Versicherung AG: Termination of Invitation to Tender

Cologne, 06. October 2015 - On 3 September 2015 Gothaer Allgemeine Versicherung AG resolved to invite the holders of the EUR 250,000,000 Subordinated Fixed to Floating Rate Bonds due 2026 issued by Gothaer Allgemeine Versicherung AG, ISIN XS0269270566, to tender to it for purchase for cash their notes at a purchase price of 104.50 per cent. (the "Invitation").

Gothaer Allgemeine Versicherung AG has decided to terminate the Invitation. The Invitation has been conditional upon the successful completion of the issue of new EUR-denominated subordinated fixed to floating rate notes by Gothaer Allgemeine Versicherung AG (the "New Notes"). Due to the currently volatile market environment, Gothaer Allgemeine Versicherung AG has decided to wait with the issue of the New Notes and as a consequence to terminate the Invitation.

As a consequence Gothaer Allgemeine Versicherung AG will not accept any notes tendered for purchase under the Invitation. Any notes in respect of which instructions have been submitted will be released again in the relevant clearing system. A new issue of notes and/or an invitation to tender the notes may be launched in the future, subject to favourable market conditions.

September 2015 - Gothaer Allgemeine Versicherung AG resolved to invite the holders of the EUR 250,000,000 Subordinated Fixed to Floating Rate Bonds due 2026 issued by Gothaer Allgemeine Versicherung AG, ISIN XS0269270566, to tender to it for purchase for cash their notes at a purchase price of 104.50 per cent. (the "Invitation"). The Invitation will commence on 3 September 2015 and is expected to expire at 4.00 p.m. (Frankfurt time) on 21 September 2015.

Gothaer Allgemeine Versicherung AG intends to issue new EUR-denominated subordinated fixed to floating rate notes (the "New Notes"). Gothaer Allgemeine Versicherung AG will accept any notes validly tendered to it for purchase pursuant to the Invitation only subject to the successful completion of the issue of the New Notes. Gothaer Allgemeine Versicherung AG intends to use the proceeds from the offering of the New Notes to partly finance the purchase of the notes in connection with the Invitation.

Financial year 2014: Gothaer further expands market position

Cologne, 25 June 2015 – The Gothaer Group grew well above the market last year and was able to further expand its market position: according to the IFRS gross premiums written rose 4.9% to €4.51 billion (previous year: €4.30 billion). By comparison, the sector as a whole only posted a premium increase by 2.7% in 2014. Contributions to the Gothaer Group's growth came from the segments Property/Casualty with a plus of 9.6% and Health with 4.9%. Owing to the difficult market environment, the Life insurance segment recorded a slight fall, being down 0.9% at Group level. It was possible to raise the Group's profit after tax to €122 million (previous year: €108 million). The Group's capitalization was further strengthened, with year-end equity standing at €1.78 billion (previous year: €1.52 billion).

According to HGB Gothaer Allgemeine Versicherung AG was able to boost its gross premiums written by 5.9% to €1.62 billion compared with the previous year (2013: €1.53 billion. The rise in premiums of some €90 million was distributed equally between private and corporate customer business.

2014 financial year: Gothaer gaining market share

Cologne, 9 December 2014 – The Gothaer Group has grown above the market this year and is gaining market share: gross premiums written, as things stand today, will be up 3.4% to € 4.45bn in 2014 (previous year: € 4.30bn). The net profit for the year is likely to be in the high two-digit million Euro range, while it has been possible to increase the Group equity markedly again to a present €1.65bn.

Gross premiums written by Gothaer Allgemeine Versicherung AG, probably at € 1.60bn, are 4.9% above the 2013 level while, as things stand today. The property/casualty insurer has been reaching high growth rates among private and corporate customers for years now.

2013 financial year: At 3.3%, Gothaer Group grows above market

Cologne, 8 July 2014 – The Gothaer Group can look back on a successful 2013 financial year: gross premiums written rose 3.3% last year to €4,233 million (2012: €4,098 million) and, hence, above the market (+3.0%). Contributions to the Group's growth came from the segments Property/Casualty, with a plus of 6.0%, and Life, with a plus 3.5%. Health insurance dipped 2.8%. The Group profit, at €107 million, remained at the 2012 level. It was possible to increase the Group's equity by 4.5% to €1,519 million. The Group's ratings were again confirmed in the 2013/2014 financial year by the rating agencies Fitch Ratings and Standard & Poor's. The outlook is still 'stable'.

Gothaer Allgemeine growing above market
Gross premiums written by Gothaer Allgemeine Versicherung AG, at €1,527 million, were 4.2% up on 2012 (€1,466 million). The Property/Casualty insurer intends to grow more strongly than the market in the private- and corporate-customer segments until 2016. In private-customer business, this is to come about in the profitable business liability, casualty and householders' lines. New product worlds involving protective letters and multi-pension are set to tap new market segments. Among corporate customers, the focus is on the development of modular products according to the mix'n'match principle.

Gothaer takes first step in generation change

Cologne, 21 May 2014 – As first step of the already announced generation change at Gothaer group Dr. Werner Görg today became Chairman of the Supervisory Board of Gothaer Finanzholding AG as well as of Gothaer Allgemeine AG, Gothaer Krankenversicherung AG, Gothaer Lebensversicherung AG, Asstel Lebensversicherung AG and Asstel Sachversicherung AG. He took over from Dr. Roland Schulz, who reached the age limit of 73 years and retires from the Supervisory Boards of Gothaer. Görg also resigned as Chairman of the Management Board of Gothaer Finanzholding AG. As his successor the Supervisory Board appointed Dr. Karsten Eichmann.

On 4 July the second step will taken at the top of Gothaer. Görg will then be suggested to the Mitgliedervertreterversammlung, the annual members representatives meeting, of Gothaer Versicherungsbank VVaG to be elected into the Supervisory Board of this company and at the same time he will resign as Chairman of the Management Board of Gothaer Versicherungsbank VVaG. Dr. Karsten Eichmann is supposed to follow Görg here as well.

Gothaer Group First Results Financial Year 2013

Cologne, 10. December 2013 – The Gothaer Group will in all likelihood reach its 2013 growth targets in full: As things stand today, gross premiums written will increase 2.2 % to €4.273 billion. Despite a difficult investment environment, CFO Jürgen Meisch is expecting the scheduled net yield for all risk carriers in 2013. The rating agency Standard and Poor's today confirms its positive assessments for Gothaer Allgemeine Versicherung AG, Gothaer Lebensversicherung AG and Gothaer Krankenversicherung AG and continues to rate the outlook as "stable". For 2014, the Company is reckoning with premium growth at Group level and above the market.

Gross premiums written by Gothaer Allgemeine Versicherung AG, at a likely €1.514 billion, are 3.3% above the 2012 level. The property/casualty insurer has been achieving high growth rates for years now among both private and corporate customers.

Gothaer Initiates Generation Change At Top Of Management

Cologne, 8 October 2013 – Dr. Roland Schulz (72), member of several Boards at Gothaer for more than 20 years and Chairman of the Supervisory Board of Gothaer Finanzholding and Gothaer Versicherungsbank, will reach the age limit of 73 years in 2014 and will then retire from the Supervisory Boards of Gothaer and make way for the next generation.

Generation change also in Management Board

A generation change will also take place in the Management Board. After more than ten years as CEO and 26 years in various management positions Dr. Werner Görg will resign by mid 2014. As his successor the Supervisory Board appointed Dr. Karsten Eichmann (52), who joins the Management Board in January 2014 to ensure a smooth transition. To date Eichmann was Member of the Board of Generali Versicherungen, which is part of Generali Germany.

2012 financial year: Gothaer Group's 3.2% growth well above market

Cologne, 2 July 2013 The Gothaer Group can look back on a successful 2012 financial year: gross premiums written rose 3.2% to €4,181 million in 2012 and, hence, above the market level (market: 2.0%). All segments contributed to the Group's growth: property/casualty grew 2.9%, life 3.0% and health insurance 4.3%. It was possible to boost Group profit 54.5% to €224 million. Group equity rose 29.5% to €1,528 million. The rating agencies Fitch Ratings and Standard & Poor's confirmed their corporate ratings for the core companies in the Gothaer Group and go on assessing the outlook as "stable". The Company's 2012 investment result rose 28.0% to €1,162 million.

Gothaer Allgemeine growth stronger than in previous year

Gross premiums written by Gothaer Allgemeine Versicherung AG, at €1,466 million, were above the 2011 level (2011: 1,426). The property/casualty insurer occupies a very good position especially among small- and medium-sized enterprises and was able to increase the premiums in this segment by 4.5% compared with the previous year. For the current flood disaster, the company is reckoning with pre-reinsurance claims expenditure amounting to approx. €60 million.

Gothaer Group First Results Financial Year 2012

Cologne, 4 December 2012 The Gothaer Group is set to fully achieve its growth targets for the year 2012: as things stand now, gross premiums written are due to rise 2.9 percent to 4.167bn Euros in 2012 (2011: 4.050bn Euros). Group growth has been given a boost by all segments. For 2013, the Company is again reckoning with growth above the market. In spite of the ongoing trend with declining reinvestment yields and an enormously difficult investment environment, 2012 is expected to bring the scheduled investment results (+10.8 percent) and stable net interest returns for all risk carriers. Group equity will probably have risen by 18.8 percent to 1.4bn Euros.

Gross premiums written at Gothaer Allgemeine Versicherung AG, viz. a likely 1.458bn Euros, are 2.3 percent above the 2011 level. The property/casualty insurer has for years had high growth rates, above all among corporate customers.

Financial year 2011: Gothaer Group boosts consolidated profit by over 35%

Cologne, 26 June 2012 – The Gothaer Group can look back on a successful 2011 financial year: gross premiums written rose 1.2% to € 4,050m and, hence, above the market. It was possible to boost the consolidated profit by 35.4% to € 145m. The Group's equity climbed 2.5% to € 1,178m. For 2012 the group again expects premium growth above the market. Despite sovereign-debt crisis, high volatility and much uncertainty on the financial markets, the Company in 2011 increased its result from capital investments by a significant 10.5% to € 908m. Gothaer Allgemeine Versicherung AG's gross premiums written, at € 1,426m, were above the 2010 level.
